    COUNTER PIAGGIO APE SCRATCH-OFF GAME

    OFFICIAL RULES

    NO PURCHASE NECESSARY TO PLAY OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

    This Counter Piaggio Ape Scratch-Off Game (the “Game”) is sponsored by G2G Ventures, PBC, 1739 Berkeley, Santa Monica, CA 90404 (“Sponsor”). The Game is a scratch-off instant win game conducted at participating Sponsor mobile activations (each, a “Counter Piaggio Ape” activation). By participating in the Game, each participant accepts and agrees to comply with these Official Rules and acknowledges that the decisions of Sponsor are final and binding in all respects. Participation is subject to Sponsor’s Terms of Use (https://www.counter.com/pages/terms-of-use) and Privacy Policy (https://www.counter.com/pages/privacy-policy). If there is any conflict between those documents and these Official Rules, these Official Rules govern. This Game is subject to all applicable federal, state, and local laws and regulations and is void where prohibited.

    1.  SPONSOR: 
    G2G Ventures, PBC, 1739 Berkeley, Santa Monica, CA 90404.

    2.  PROMOTION PERIOD:  The Game begins on July 18, 2026 and ends on August 9, 2026 (the “Promotion Period”), or when all scratch cards have been distributed, whichever occurs first. Scratch cards will be distributed only during the Promotion Period, while supplies last.

    3.  ELIGIBILITY: 
    The Game is open only to natural persons who are legal residents of, and physically located in, a participating state where the Game is offered (the State of New York and the Commonwealth of Massachusetts) and who are 18 years of age or older at the time of participation. Scratch cards will be distributed only to persons 18 years of age or older. Employees, representatives, agents, directors, and officers of Sponsor and its affiliates (collectively, the “Game Entities”), their immediate family members (spouse, domestic partner, parents, grandparents, children, grandchildren, siblings, and step-relations), and persons living in the same household as any of them (whether related or not) are not eligible. The Game is void where prohibited. Failure to satisfy the eligibility criteria will result in disqualification and prize forfeiture.

    4.  HOW TO PLAY – NO PURCHASE NECESSARY:  No purchase or payment of any kind is necessary to receive a scratch card or to win a prize, and a purchase will not improve any person’s chances of winning. During the Promotion Period, free
    scratch cards will be distributed at Sponsor’s discretion, while supplies last, to eligible participants who visit a participating Counter Piaggio Ape activation. Limit one (1) scratch card per person. Each scratch card contains a concealed play area. The participant scratches the concealed area to reveal the prize awarded. A total of one thousand (1,000) scratch cards have been produced for the Game. Every scratch card is a winning card and reveals one (1) of the
    prizes described in Section 5.

    5.  PRIZES AND ODDS:  The prizes available in the Game, their approximate retail values (“ARV”), the number of winning cards for each prize, and the odds of receiving each prize are set forth in the table below:

    The odds stated above are based
    on the total of 1,000 scratch cards produced for the Game. Scratch cards are
    distributed in two pools, and the number of winning cards and odds for each
    prize within each pool are as follows:

    Each prize is non-transferable, non-assignable, and has no cash value. Sponsor reserves the right, in its sole discretion, to substitute a prize of equal or greater value. All federal, state, and local taxes on any prize, if any, are the sole responsibility of the recipient.

    6.  PRIZE CLAIM AND REDEMPTION:  All prizes must be claimed in person at the participating activation at the time of play, upon presentation of the winning scratch card, while supplies last. Lip Jelly and “Nothing to Hide” Tote Bag prizes are awarded on site. To claim the $150 Counter Gift Card, the winner must present the winning scratch card and valid government-issued photo identification showing the winner is at least 18 years of age, and may redeem the $150 credit on site toward a purchase at the Counter Piaggio Ape point of sale or at the Nantucket store, or elect to have the credit applied to a Counter account for later use. The $150 gift card credit expires one (1) year from the date of issuance. Sponsor is not responsible for lost, late, stolen, damaged, mutilated, or destroyed scratch cards. Any scratch card that is altered, forged, tampered with, mutilated, illegible, or not obtained through authorized channels is void.

    7.  GENERAL CONDITIONS:  Sponsor reserves the right, in its sole discretion, to disqualify any person it believes has tampered with or attempted to tamper with the operation of the Game or has acted in violation of these Official Rules. Sponsor is not responsible for any typographical or other error in the printing, offering, or administration of the Game, including any error in the printing or seeding of scratch cards or the announcement of prizes.

    8.  RELEASE AND LIMITATION OF LIABILITY:  By participating in the Game, each participant agrees, for the participant and the participant’s heirs, executors, administrators, representatives, and assigns, to release, hold harmless, and indemnify Sponsor, the Game Entities, and all individuals and entities involved in the fulfillment, administration, advertising, or promotion of the Game, and each of their respective past and present officers, directors, parent companies, subsidiaries, affiliates, employees, representatives, licensees, successors, assigns, and agents (collectively, the “Released Parties”) from any and all claims, expenses, liabilities, personal injury, death, property loss, or damages of any kind arising out of or relating to the participant’s participation in the Game and/or the participant’s acceptance, possession, use, or misuse of any prize, whether or not caused by negligence. The Released Parties are not responsible for lost, late, misdirected, damaged, or illegible scratch cards, or for any technical or human error in the administration of the Game.

    9.  RELEASE OF CLAIMS (CALIFORNIA):  Each participant acknowledges that they may later discover facts or claims that were unknown or unsuspected at the time of participation, and that if known might have affected their decision to participate. Each participant assumes the risk of such unknown facts and claims and, having been advised of the existence of Section 1542 of the California Civil Code, waives its protections. Section 1542 provides: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

    10.  PUBLICITY:  Except where prohibited by law, acceptance of a prize constitutes the winner’s consent to Sponsor’s use of the winner’s name, city and state of residence, and likeness for advertising and promotional purposes, in all media now known or later devised, worldwide, without further compensation, notice, or authorization.

    11.  MODIFICATION; TERMINATION:  Sponsor reserves the right, in its sole discretion, to modify, suspend, or terminate the Game if it determines that fraud, technical failures, or any other cause beyond its reasonable control has impaired or threatens to impair the integrity, security, or proper administration of the Game, subject to any approvals required by applicable law.

    12.  DISPUTES; GOVERNING LAW:  Except where prohibited, each participant agrees that: (a) any dispute, claim, or cause of action arising out of or connected with the Game shall be resolved individually, without resort to any form of class action; (b) any recovery shall be limited to actual out-of-pocket costs incurred, and in no event attorneys’ or legal fees; and (c) each
    participant waives all rights to claim punitive, incidental, or consequential damages, and any multiplication or increase of damages. All issues concerning the construction, validity, interpretation, and enforceability of these Official Rules shall be governed by the laws of the State of California, without giving effect to any choice-of-law rules.

    13.  OFFICIAL RULES AND WINNERS:  Abbreviated rules are posted at each participating Counter Piaggio Ape activation. For a copy of these Official Rules, send a self-addressed stamped envelope to: G2G Ventures, PBC, 1739 Berkeley, Santa Monica, CA 90404, Attn: Legal Department. Requests must be received by August 31, 2026.
